Terms of Service

Effective 2 August 2026 · HumanAudit Inc., Delaware C-Corporation

Read this first. We are not a law firm, not an accredited certification body, and not a registered auditor. We cannot certify you and nobody can certify you except an accredited certification body. Our deliverables are first-draft work product that your counsel interprets and your team validates.

1. Who these terms bind

These Terms govern your use of humanaudit.ai and any services purchased from HumanAudit Inc., a Delaware C-Corporation ("HumanAudit", "we"). By using the site or engaging us, you accept them. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.

2. What we do and what we do not do

We produce AI governance and compliance documentation — Statements of Applicability, risk registers, impact assessments, technical files and related artefacts — mapped to ISO/IEC 42001:2023, the EU AI Act, the NIST AI RMF and Microsoft SSPA requirements.

We do not provide legal advice, we do not issue certificates, and we do not conduct accredited audits. Nothing on this site or in a deliverable creates an attorney–client, auditor–client, or other professional relationship of a regulated kind.

3. Engagements

3.1 Scope and price

Every engagement is scoped and priced in writing before work begins. We do not bill hourly and we do not raise the price mid-engagement for work inside the agreed scope. Work outside the agreed scope is quoted separately and only starts on your written approval.

3.2 What you provide

Deliverable quality depends on the accuracy of what you give us. You are responsible for the accuracy and completeness of information about your AI systems, data flows and existing controls. We build on what you tell us; we do not independently verify your technical estate unless the scope says so.

3.3 Revisions

Each engagement includes one revision round, scoped in writing. Further rounds are quoted separately.

3.4 Defect window

For 30 days after delivery we correct any factual, traceability or internal-consistency defect in the deliverables at no charge. Where a defect is systemic we publish it, as we have before.

4. Fees and payment

Fees are stated in US Dollars and are exclusive of any applicable sales tax, VAT or GST, which is added at checkout or on invoice where required. Toolkit purchases are processed by Stripe; we never see or store full card details. Engagement invoices are payable within 14 days unless otherwise agreed in writing.

5. Refunds

Toolkit purchases carry a 7-day refund, no reason required. Email truth@humanaudit.ai within 7 days of purchase.

Fixed-fee engagements are not refundable once work has commenced, because the cost is our time and it cannot be recovered. What you get instead is the revision round and the 30-day defect window above. If we have not started, you get a full refund.

Regulatory Watch subscriptions can be cancelled at any time, take effect at the end of the current period, and do not auto-renew without notice.

6. Intellectual property

6.1 Your deliverables

On payment in full, you own the deliverables produced for your engagement and may use, adapt, and present them to any certification body, regulator or customer without restriction or further fee.

6.2 Our underlying materials

We retain ownership of our methods, templates, control libraries, crosswalks and automated checks. Your ownership of the deliverables does not transfer these, and does not permit republishing our underlying materials as a documentation product.

6.3 Confidentiality

We treat everything you share as confidential and do not name you as a client without written permission. Where we describe engagements publicly we do so without identifying detail unless you have agreed otherwise.

7. Warranties and limits

We warrant that services are performed with reasonable skill and care by people competent to perform them.

We do not warrant or guarantee any certification outcome, audit result, regulatory approval, or that a deliverable will satisfy a particular assessor. Certification depends on your implementation, your evidence, your organisational maturity and the independent judgement of your certification body. Any vendor promising otherwise is selling something that does not exist.

To the maximum extent permitted by law, our aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profits, lost contracts, or regulatory penalties. Nothing here limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.

Consumer rights: if you contract with us as a consumer rather than a business, nothing in these Terms removes statutory rights you have under the law of your country of residence.

8. Acceptable use

You may not resell, sublicence or republish our deliverables or underlying materials as a documentation product; remove attribution or disclaimers; use our materials to train a competing AI model; or represent that HumanAudit has certified, endorsed or audited your organisation.

9. Governing law

These Terms are governed by the laws of the State of Delaware, USA, and the courts of Delaware have exclusive jurisdiction, except that consumers may bring proceedings in their country of residence where local law gives them that right.

10. Changes

We may update these Terms. The version in force for your engagement is the one published when your scope was agreed in writing. Site-use changes take effect on publication.
